Terms of Service
Last updated 24 October 2026
These terms govern the use of Serial Passport, a service of [COMPANY LEGAL NAME] ("Serial Passport", "we"). By creating an account or signing an order form, the customer ("you") agrees to these terms.
1. Definitions
- Passport: the digital record for one product unit, reachable through its QR code and passport ID.
- Customer data: all data you or your systems submit to the service, including product and lifecycle data.
- Economic operator: the party that places the product on the EU market and is legally responsible for its passport.
2. The service
Serial Passport lets you create, host and update digital product passports, generate QR labels, and give verified third parties access to restricted data. We may improve the service over time without reducing its core functions during your subscription.
3. Your responsibilities
- You remain the economic operator and are responsible for the completeness and accuracy of the data in your passports.
- You keep your account credentials and API keys secret and tell us without delay if they may have leaked.
- You only submit data you are entitled to share, and you comply with the laws that apply to your products.
4. Acceptable use
You may not use the service to:
- publish false, misleading or unlawful product information;
- impersonate another manufacturer or issue passports for products that are not yours;
- probe, overload or attack the service, or access data of other customers;
- resell the service without our written permission.
We may suspend accounts that break these rules after notice, or immediately where needed to protect the service or third parties.
5. Availability
We aim to keep public passport pages available at all times and serve them from a separate content network, so scans keep working during maintenance of the dashboard. Planned maintenance is announced in advance. Service levels for paid plans are set out in your order form.
6. Data and ownership
You own your customer data. You grant us the rights needed to host, display and process it to provide the service. You can export all customer data at any time in open formats. Where we process personal data on your behalf, our data processing agreement applies.
7. Continuity of passports
Because passports must stay available for a product's whole life, we maintain a continuity plan. If you end your subscription or if we stop providing the service, we will give you a complete export and reasonable help transferring your passports to you or another provider, and we keep existing public pages online for a transition period of at least [12] months.
8. Fees and payment
Fees are set out in your order form or on our pricing page. Usage-based fees are invoiced monthly in arrears. Invoices are due within 30 days. Prices exclude VAT.
9. Liability
Our total liability per calendar year is limited to the fees you paid us in the 12 months before the event that caused the damage. We are not liable for indirect or consequential damage, lost profit or lost data that you could have restored from an export. These limits do not apply to damage caused by our intent or gross negligence.
10. Term and termination
Subscriptions run for the term in your order form and renew for the same term unless cancelled with one month's notice. Either party may terminate with immediate effect if the other materially breaches these terms and does not fix the breach within 30 days of written notice.
11. Changes to these terms
We may change these terms. We announce material changes at least 30 days in advance; if you do not agree, you may terminate before they take effect.
12. Governing law
These terms are governed by Dutch law. Disputes are submitted to the competent court in [CITY], the Netherlands. See also our Privacy Policy.
