DIGITAL BATTERY PASSPORT PLATFORM - LETTER OF INTENT & PRE-ORDER

Version LOI-2026-10-v1 · free, no payment details

Parties

  1. Serial Passport B.V. i.o., the Netherlands, serialpassport.com, represented by Michael van Montfoort ("Serial Passport")
  2. [Company name], represented by [Full name] ("the Client")

1. Purpose

The Client intends to use the Serial Passport digital battery passport platform to issue, host and maintain the battery passports required by Regulation (EU) 2023/1542, which apply from 18 February 2027.

2. Priority onboarding slot

By signing, the Client reserves a priority onboarding slot. Founding customers are onboarded in the order in which they signed, ahead of other customers and before the regulation applies. Serial Passport helps the Client set up its first battery model, batch and labels.

3. 3 months of free access

At launch, the Client receives full access to the platform for 3 months, free of charge. The free period starts on the day the Client's workspace is opened.

Signing this letter is free. No payment details are requested and nothing is charged now.

4. Founding-customer plan after the free period

After the free period, the Client moves to a recurring corporate plan at the founding-customer price: 20% off the list price of the chosen plan for the first 12 months.

At least 14 days before the free period ends, Serial Passport emails the Client the plan and price. Billing only starts once the Client has confirmed a plan and added payment details.

5. Cancel at any time during the free period

The Client can cancel at any time during the 3 free months, without giving a reason and at no cost, by emailing business@serialpassport.com or from the dashboard. Nothing is owed after cancelling.

6. Company in formation

Serial Passport is being incorporated as a private limited company (B.V.) in the Netherlands. This letter is entered into on behalf of Serial Passport B.V. i.o. and will be taken over by the B.V. once it is registered. If the B.V. is not registered, this letter lapses and neither party owes the other anything.

7. Data and signature

Serial Passport uses the details in this letter only to contact the Client about the reservation and onboarding, as described in the privacy policy at serialpassport.com/privacy.

The parties agree that drawing a signature on this page is the Client's electronic signature and has the same effect as a handwritten signature. The Client receives a signed copy by email. This letter is governed by Dutch law.
